Terms and Conditions of Service

In short: by using Exhibe you accept these rules. We are a technology platform that gives you tools; we take no part in your sales. Your content is yours. You can cancel your subscription or delete your account whenever you want, on your own, from within the platform.
1. Acceptance of the terms
By signing up, logging in or using the Exhibe platform (the "Platform"), you agree to be bound by these Terms and Conditions.
1.1. Identity: the service is operated by Ozer Tech Solutions LLC (Wyoming, USA) and its local entity being incorporated in Honduras.
1.2. Role: Exhibe is solely a SaaS infrastructure provider. It takes no part in sales, in payments from end customers, or in the merchant’s logistics.
1.3. Scope: these terms apply to the web application, to the mobile applications for iOS and Android, and to the public storefronts published with the Platform.
2. Exhibe’s role: we are a technology platform
Exhibe gives merchants a tool to create and manage a digital storefront where they display their products.
We are an intermediary, not a seller: Exhibe does not sell, resell or take part in any transaction. We only provide the technology.
We are not a party to the transaction: any agreement, sale or contract between a merchant and their customers is strictly between them. Exhibe is not a party to that agreement and does not process payments between buyer and seller.
3. Disclaimer of liability
3.1. Quality and accuracy: we are not responsible for the quality, safety, legality or accuracy of the products, descriptions or photographs published by merchants.
3.2. Fulfillment of the sale: Exhibe has no responsibility over shipping, delivery, returns, refunds or promises made by a merchant to a buyer.
3.3. Disputes: any dispute or claim from a buyer must be resolved directly with the corresponding merchant.
To the maximum extent permitted by law, we will not be liable for lost profits (loss of sales, data or revenue due to system downtime); we do not guarantee 100% uptime; and features labeled "coming soon" are not binding.
4. Acceptable use
You agree not to use Exhibe for illegal or prohibited activities, including: publishing illegal, counterfeit or dangerous products; creating false or fraudulent content; impersonating others; infringing third-party intellectual property; transmitting malicious code; or attempting to circumvent the Platform’s technical, plan or security limits.
5. Your content and your data
5.1. Your content is yours: you retain ownership of everything you upload (brand, logo, photos, descriptions, catalog and your customers’ data).
5.2. Limited license: you grant us a non-exclusive, worldwide, revocable license, solely to host, process, technically adapt and display that content in order to operate the service and publish your storefront. This license ends when you delete the content or your account.
5.3. Your customers’ data: with respect to information about your buyers, you are the data controller and Exhibe acts as processor, as described in the Privacy Policy. You agree to handle that data in accordance with applicable law.
5.4. Platform ownership: the software, the Exhibe brand and its visual elements are the property of Ozer Tech Solutions LLC. No ownership over them is transferred.
6. Accounts, suspension and deletion
6.1. You warrant that your account information is accurate and that the credentials you use belong to you. You are responsible for safeguarding your password and your access.
6.2. Selling illicit products, pornographic content, weapons, controlled substances or any item that violates applicable law is prohibited.
6.3. Suspension on our part: we reserve the right to immediately suspend or delete accounts for breach of these terms, fraud reports or unauthorized use of the Exhibe brand.
6.4. Deletion on your part: you can delete your account at any time, on your own, from Settings → Security → Delete account, both in the web application and in the iOS and Android applications. Doing so permanently erases your business and all of its data, as described in section 8 of the Privacy Policy. Deletion is irreversible and does not entitle you to a refund for the period already paid.
6.5. Cancel the subscription before deleting the account: deleting your account does not by itself cancel a subscription purchased through the App Store. If you subscribed from the iOS application, cancel it first in your iPhone Settings → your name → Subscriptions; that is the only place where it can be done. If you subscribed on the web, cancellation is done from your account and also happens automatically when you delete it.
7. Subscription, credits and refunds
7.1. Where you subscribe: paid plans and AI credit packs can be purchased through two channels, at the same price: inside the iOS application, through Apple in-app purchases, and from the Exhibe web application, with Stripe as the processor. Your plan and your credits are reflected automatically across all your devices, no matter where you purchased them.
7.2. Billing and management depend on where you bought: if you subscribe from the iOS application, the charge is made by Apple to your Apple account; the subscription renews automatically unless you cancel at least 24 hours before the period ends, and you manage it from your iPhone Settings → your name → Subscriptions. If you subscribe from the web application, billing and management are handled with Stripe, from the customer portal.
7.3. The same plan is never charged twice: if you already have an active subscription purchased through one channel, the other will not offer it again: it shows you the plan you already have and where to manage it.
7.4. No proration: no refunds are issued for cancelling early within a cycle. If you cancel, the service continues until the paid period ends and then drops to the free plan. If instead you delete your account, the service and the data end immediately, with no refund for the remaining period.
7.5. Artificial intelligence credits: each plan includes a monthly credit allowance that renews with the cycle. You can buy additional credit packs whenever you need them; they are a consumable, they add to your balance and they do not expire. Credits are only for using AI features inside Exhibe: they are not money, they are not transferable and they cannot be exchanged for cash.
7.6. Billing errors: if your purchase was made in the iOS application, refunds are handled by Apple under its own policies, at reportProblem.apple.com; we cannot issue or reverse them. If your purchase was made on the web, refunds apply only to billing errors (for example duplicate charges) if reported to soporte@exhibe.app within 72 hours.
7.7. Free plan: the Despegue plan is free and requires no payment.
7.8. Price changes: we may adjust plan prices. Changes are communicated in advance and apply from the following billing cycle.
8. Artificial intelligence features
8.1. Assistive in nature: Exhibe includes AI-assisted features (assistants, creating products from photos, content generation and smart search). Their output consists of automatically generated suggestions and may contain errors, omissions or outdated information.
8.2. Your review: you are responsible for reviewing and validating any AI-generated content before publishing it, sending it to a customer or making business decisions with it. It is not a substitute for professional, accounting or legal advice.
8.3. Fair use: AI features are subject to credit availability and to technical limits designed to prevent abuse. We may adjust those limits to preserve the stability of the service.
9. Jurisdiction and governing law
This agreement is governed by the laws of the Republic of Honduras. Any dispute will be submitted to the competent courts of Tegucigalpa or San Pedro Sula.
10. Changes to the terms
We may revise these terms from time to time. The most recent version will always be published with its update date. It is your responsibility to review them regularly.
